Terms of Service
GeoTamizha (OPC Pvt Ltd) engages with clients through clear statements of work, mutual responsibilities, and confidentiality safeguards. The summary below outlines our general terms. Project-specific agreements may include additional clauses.
1. Engagement scope & deliverables
Engagements are governed by signed proposals or statements of work that detail scope, timelines, deliverables, acceptance criteria, and commercial terms. Any changes to scope are managed through a formal change control process.
2. Intellectual property
Unless otherwise agreed, clients retain ownership of their data and business IP. GeoTamizha retains rights to its pre-existing IP, accelerators, and generic frameworks used during delivery. Licensing for third-party components will be clarified before usage.
3. Confidentiality & data protection
We treat all client information as confidential and handle it in accordance with applicable data protection regulations. Both parties agree not to disclose confidential information without prior consent unless required by law.
4. Security & compliance
GeoTamizha maintains administrative, technical, and physical safeguards aligned with industry best practices. Clients are responsible for granting timely access to systems, data, and stakeholders needed for delivery.
5. Payment terms
Invoices are payable within 30 days unless otherwise agreed. Late payments may attract interest at prevailing rates. Taxes, duties, and statutory levies will be charged as applicable.
6. Limitation of liability
GeoTamizha's aggregate liability is limited to the amount paid by the client under the applicable statement of work during the preceding six months. We are not liable for indirect or consequential damages except as mandated by law.
7. Termination
Either party may terminate an engagement by providing written notice in line with the contract. Clients agree to compensate GeoTamizha for work completed up to the date of termination.
8. Governing law
These terms are governed by the laws of India, with Chennai, Tamil Nadu as the jurisdiction. Disputes will be resolved through good-faith discussions followed by arbitration if required.
